Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Open Claw Assistance LLC (“Open Claw,” “we,” “us,” or “our”) governing your access to and use of theclawacademy.com, The Claw Academy program, and any related services (collectively, the “Services”). By enrolling, creating an account, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

The Claw Academy is a cohort-based educational program that may include live sessions, recorded materials, templates, software, community access, and (where included with your tier) physical hardware such as the Mac Mini M4. Specific deliverables for your tier are described on the pricing page and in your enrollment agreement.

You agree to provide accurate, current, and complete information and to keep your account credentials confidential. Accounts are for a single user and may not be shared, transferred, or resold. You are responsible for all activity that occurs under your account.

Prices, financing options, and what is included are listed on the pricing page. Payments are processed by Stripe. By enrolling, you authorize us (and Stripe) to charge your selected payment method for the program fee, including any installment payments under a financing plan you select.

You are responsible for any taxes, duties, or fees imposed by your jurisdiction. If a payment fails, we may suspend access until the balance is resolved and may charge reasonable fees permitted by law.

All sales are final. Once your enrollment is confirmed and payment (or the first installment, for financed plans) has been processed, the full program fee is non-refundable, including for missed sessions, change of mind, or failure to complete the program.

Where mandatory consumer-protection laws in your jurisdiction require a refund or withdrawal right that cannot be waived, that law will apply to the extent required.

For financed enrollments, you remain responsible for all remaining installments under the financing agreement you signed.

Subject to your compliance with these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the course materials for your personal, non-commercial educational use during your enrollment. All other rights are reserved.

All content provided through the Services — including videos, slides, templates, prompts, source code, written materials, trademarks, and the “Open Claw” and “The Claw Academy” brands — is owned by or licensed to Open Claw Assistance LLC and is protected by intellectual property laws. You may not copy, record, redistribute, publicly display, resell, sublicense, or use the materials to train any machine-learning or generative-AI model without our prior written consent.

You agree not to:

• Harass, threaten, defame, or harm other students, instructors, or staff;
• Share, sell, or otherwise grant unauthorized access to your account or to course materials;
• Scrape, crawl, or harvest data from the Services;
• Reverse engineer, decompile, or attempt to derive source code from any software we provide;
• Circumvent, disable, or interfere with security or access-control features;
• Use the Services to violate any law or third-party right.

We may suspend or terminate access for any violation, without refund.

If you submit feedback, questions, projects, or other materials (“User Content”), you retain ownership but grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and use the User Content as needed to operate and improve the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

The Services integrate with third-party tools (such as Stripe, Google, and others). Your use of those tools is governed by the third party’s terms and privacy policy. We are not responsible for third-party services.

The services and all materials are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We make no guarantees about specific business, revenue, income, or career outcomes from your participation. Results depend on many factors outside our control, including your effort, skill, market conditions, and the accuracy of information you provide to your own clients.

To the maximum extent permitted by law, in no event shall Open Claw Assistance LLC, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services. Our aggregate liability for any claim arising out of or related to these terms or the services shall not exceed the amount you paid us for the services in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Open Claw Assistance LLC and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or any law or third-party right.

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. Upon termination, your right to access the Services ends, but sections that by their nature should survive (including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

We may modify the Services or these Terms from time to time. If we make material changes, we will provide notice through the Site or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute that is not subject to arbitration shall be the state and federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

Before filing any formal claim, you agree to first contact us at support@openclawassistance.com and attempt to resolve the dispute informally for at least thirty (30) days.

To the extent permitted by law, any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

These Terms, together with any enrollment agreement and our Privacy Policy, constitute the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party will be liable for delays caused by events beyond its reasonable control.
